RESOLUTION No. XII/135/2019 OF THE SANOK COUNTY COUNCIL of 25 September 2019
on the adoption of the statutes of the Historical Museum in Sanok.
Pursuant to Article 12(11) of the Act of 5 June 1998 on county self-government (consolidated text: Journal of Laws of 2019, item 511), Article 6(1) and (2) of the Act of 21 November 1996 on museums (consolidated text: Journal of Laws of 2019, item 917) and Article 13(1) and (2) of the Act of 25 October 1991 on the organisation and conduct of cultural activities (consolidated text: Journal of Laws of 2018, item 1983, as amended) in connection with the agreement on the operation of the Historical Museum in Sanok as a joint cultural institution, concluded on 17 October 2018 between Sanok County and the Podkarpackie Province
The Sanok County Council hereby resolves as follows:
§ 1 Following consultation with the Minister of Culture and National Heritage and the Podkarpackie Province, the Statute of the Historical Museum in Sanok, constituting an annex to this resolution, is hereby adopted. Resolution No. XIII/102/1999 of the Sanok County Council of 20 December 1999 on the adoption of the Statute of the Historical Museum in Sanok is hereby repealed.
§ 2 The implementation of this resolution is entrusted to the Sanok County Executive Board.
§ 3 This resolution shall enter into force 14 days after its publication in the Official Journal of the Podkarpackie Province.

STATUTES OF THE HISTORICAL MUSEUM IN SANOK
Chapter 1
General Provisions
§ 1. The Historical Museum in Sanok, hereinafter referred to as the “Museum”, is a local government cultural institution, operated as a joint cultural institution of the Podkarpackie Voivodeship, hereinafter referred to as the “Voivodeship”, and Sanok County, hereinafter referred to as the “County”.
§ 2. The Museum operates in particular on the basis of: 1) the Act of 21 November 1996 on museums (Journal of Laws of 2019, item 917), hereinafter referred to as the “Act on Museums”; 2) the Act of 25 October 1991 on the organisation and conduct of cultural activities (Journal of Laws of 2018, item 1983, and of 2019, items 115 and 730), hereinafter referred to as the Act on the organisation and conduct of cultural activities; 3) the Act on the Protection and Care of Monuments (Journal of Laws of 2018, items 2067 and 2245, and of 2019, item 730), hereinafter referred to as the “Act on the Protection and Care of Monuments”; 4) the agreement on the operation of the Historical Museum in Sanok as a joint cultural institution, concluded on 17 October 2018 between Sanok County and the Podkarpackie Province, hereinafter referred to as the “Agreement”; 5) these Statutes.
§ 3.
The Museum is entered in the register of cultural institutions maintained by the District under number 1/1999.
The Museum has legal personality.
§ 4.
The Museum’s registered office is in Sanok.
The Museum operates within the territory of the Republic of Poland and abroad.
Chapter 2
Scope of the Museum’s activities and nature of the collections
§ 5.
The scope of the Museum’s activities includes the permanent protection of the cultural heritage held by the Museum, ensuring the preservation of the historic fabric of the buildings comprising the Museum, and the dissemination of knowledge in the fields of art, history and archaeology.
§ 6.
The Museum carries out the activities referred to in § 5, in particular by: 1) collecting artefacts and documentary materials within the scope specified in the Statutes, acquired through purchases, donations, bequests, deposits and transfers; 2) organising and conducting scientific research, including archaeological research, after obtaining the permits referred to in Article 36(1) of the Act on the Protection and Care of Monuments; 3) inventorying, cataloguing and scientifically processing the collected collections and documentary materials; 4) storing the collected collections in conditions ensuring their safety and storing them in a manner that allows access for scientific purposes; 5) safeguarding and conserving the collections and structures within the historic complex in Sanok, safeguarding archaeological sites and other immovable objects of material culture and nature; 6) implementing modern digital techniques, particularly for documentation, exhibition and educational purposes; 7) organising permanent, temporary and travelling exhibitions; 8) making the collections available for scientific and educational purposes; 9) conducting educational and cultural outreach activities, in particular by organising sessions, meetings, training courses and concerts;10) carrying out publishing activities, including the publication of catalogues, exhibition guides, the results of scientific and archaeological research, and popular science publications related to the Museum’s scope of activity; 11) ensuring appropriate conditions for visiting the Museum and for accessing the collections and the information held; 12) lending collections and accepting artefacts and works of art on deposit; 13) providing information, advice and assistance within the scope of the Museum’s activities; 14) cooperating with Polish and foreign museums, central and local government bodies, cultural institutions, Polish and foreign scientific and research institutes, non-governmental organisations, as well as other legal persons, organisational units without legal personality and natural persons.
§ 7.
The museum collects items relating to art, history, numismatics, faleristics and archaeology.
In particular, the Museum collects the following types of items: 1) works of fine art (paintings, prints, sculptures, drawings), arts and crafts, and applied arts; 2) documents, books, medals, coins, maps and other items related to the Museum’s scope of activity; 3) functional objects and items of interior furnishings.
Chapter 3
Supervision, management and organisation of the Museum, advisory bodies and the manner of their appointment
§ 8.
General supervision of the Museum is exercised by the Minister responsible for culture and the protection of national heritage.
Direct supervision of the Museum is exercised by the District and the Province in the manner and to the extent specified in the Agreement.
§ 9.
The Museum’s activities are managed by the Museum Director.
The Director’s duties include, in particular: 1) overall management of the Museum’s activities; 2) supervision of the collections and their record-keeping, as well as the Museum’s assets; 3) representing the Museum externally; 4) issuing internal regulations; 5) drawing up the Museum’s financial plan; 6) supervising the rational and effective management of financial and material resources; 7) overseeing internal control; 8) submitting financial plans and annual plans for the Museum’s statutory activities, reports and proposals to the Province and the County; 9) submitting annual activity reports and annual plans for the Museum’s statutory activities to the Museum Council; 10) carrying out activities relating to labour law in respect of the Museum’s employees; 11) creating conditions enabling the planning and implementation within the Museum of defence tasks and tasks in the area of crisis management, as defined by separate regulations.
§ 10.
The Director shall be appointed and dismissed by the District in accordance with the procedures and principles laid down in the applicable regulations, in consultation with the Province.
The consultation referred to in paragraph 1 shall also cover the terms of the contract to be concluded with the Director.
§ 11.
The Director shall manage the Museum with the assistance of a Deputy Director.
The Deputy Director shall be appointed and dismissed by the Director in consultation with the District and the Province.
§ 12.
The Director is authorised to perform legal acts on behalf of the Museum, including making declarations of intent concerning property rights and obligations.
The Director may appoint proxies to perform legal acts on behalf of the Museum, specifying the scope of the power of attorney.
The granting and revocation of a power of attorney must be in writing, otherwise it shall be null and void.
The granting and revocation of a power of attorney shall be disclosed in the register of cultural institutions maintained by the District, with the exception of powers of attorney for legal proceedings.
§ 13.
A Museum Council operates within the Museum.
The Museum Council consists of 8 members appointed and dismissed by the District in accordance with the relevant regulations, provided that the Museum Council shall include one representative nominated by the Province and one representative nominated by the District.
The Museum Council operates in accordance with the principles set out in the Museums Act.
§ 14.
The internal organisation of the Museum, including the tasks of organisational units and independent posts, is set out in the Museum’s organisational regulations.
The Museum’s organisational regulations shall be issued by the Director, after consulting the County and Provincial Authorities, as well as the trade unions and artists’ associations operating within the Museum.
Chapter 4
Financial Management of the Museum
§ 15.
The Museum manages its finances in accordance with the principles set out in the Act on the Organisation and Conduct of Cultural Activities and other applicable legal provisions in this regard.
The basis for the Museum’s financial management is the financial plan established by the Director, taking into account the amount of the subsidy allocated by the County and the Province for each year in the budget resolutions.
The Museum’s annual financial statement is subject to approval by the County. The Director shall forward a copy of the approved statement to the Podkarpackie Province Executive Board.
§ 16.
The Museum’s assets are used by the Museum to carry out its statutory activities.
§ 17.
The sources of funding for the Museum’s activities are: 1) grants provided by the District and the Province, including: a) general grants to subsidise day-to-day operations in relation to statutory tasks, including the maintenance and renovation of premises, b) specific grants to finance or subsidise the costs of investment projects, c) specific grants for the implementation of designated tasks and programmes; 2) general and specific grants from the state budget or a local government body; 3) income from operations, including the sale of movable assets; 4) income from the letting and leasing of the Museum’s assets; 5) funds received from natural and legal persons and from other sources.
§ 18.
The Museum may, as a supplementary activity, carry out economic activities in accordance with the rules laid down in the applicable regulations, provided that such activities do not restrict the Museum’s statutory activities.
Economic activities may be conducted in the following areas: 1) services relating to the digitisation, photography and digital reconstruction of historic objects and exhibits, as well as computer graphics services; 2) printing services; 3) conservation services; 4) archaeological services. 5) commercial services, including the sale of publications, e.g. books, postcards, posters, films, tourist souvenirs and other products thematically related to the Museum’s activities and the region; 6) the production and sale of reproductions and copies of museum artefacts and souvenirs; 7) services supporting educational activities and their extracurricular forms; 8) charging fees for access to the collections, in particular for reproduction, filming, photography, copying and the organisation of exhibitions; 9) charging fees for the granting of licences for economic copyright; 10) the letting and leasing of movable and immovable property.
Funds obtained from economic activities shall be used for the Museum’s statutory activities.
Chapter 5
Final provisions
§ 19. The District and the Province may merge, divide or wind up the Museum in accordance with the procedure and principles laid down in the applicable regulations, taking into account the provisions of the Agreement.
§ 20. Amendments to these Articles of Association shall be made in accordance with the procedure established for their adoption.
